Susan Leong

Counsel

Susan Leong brings extensive industry experience to GAP, including over a decade as partner, associate general counsel, and chief compliance officer of Omega Advisors, Inc. Susan also has the distinction of having served long tenures with two of the most well-known large law firms serving the private fund space.

At GAP, Susan advises private funds, investment advisers, and family offices on a wide range of investment management issues, including fund structure and documentation, portfolio management and trading practices, disclosure and advertising, vendor contracts, compliance policies and practices, and regulatory examinations.

Selected Professional Activities

Structure and form hedge funds and special-purpose vehicles, including drafting of private placement memoranda, limited partnership agreements, subscription agreements, memoranda and articles of association, corporate resolutions, and other related documents. Liaise with non-U.S. counsel as needed.
Review and update private fund offering materials.
Draft and review marketing materials and disclosures, including responses to requests for proposals, due diligence questionnaires, and investor communications.
Advise private equity and hedge fund clients on compliance policies and procedures, draft and review compliance manuals, and assist with implementation of new policies and annual compliance testing.
Coordinate registration and licensing processes in U.S. and in non-U.S. jurisdictions in conjunction with local counsel.
Negotiate and draft separately managed account agreements and side letters with investors.
Negotiate service agreements with vendors, including broker-dealers, banks, administrators and other service providers. Manage high-volume NDA review process.
Develop educational and training materials and conduct annual employee training, including specialized training for client relations department on preparation of marketing materials.
Assist in industry sweep questionnaires, audit examinations, subpoenas and inquiries from government agencies and SROs, including document production.
Review and coordinate regulatory filings including Form ADV, CPO and CTA updates, Forms 13G, 13D, 13F, 13H, 3 and 4, Form PF and foreign holdings filings.
