Matthew Lamm

Counsel

Matt Lamm brings extensive industry experience to GAP, including over a decade as an attorney with Axiom, where he sat in a variety of in-house corporate counsel roles at financial institutions including investment advisers.

At GAP, Matt advises private funds, investment advisers, and family offices on a wide range of investment management issues, including fund structure and documentation, portfolio management and trading practices, disclosure and advertising, vendor contracts, compliance policies and practices, and regulatory examinations.

Selected Professional Activities

Structure workflow management systems and tools for third party contracting and vendor management strategies, including supporting investment research teams.
Draft and review master services agreements and technology licenses, including for execution management and enterprise technology platforms.
Draft and review market and alternative data agreements. Negotiate service agreements with vendors, including broker-dealers, banks, administrators and other service providers. Manage high-volume NDA review processes.
Lead privacy documentation initiatives, including for GDPR and CCPA.
Coordinate formation, registration and licensing processes in U.S. and in non-U.S. jurisdictions in conjunction with local counsel, including in connection with post-merger integration.
Draft and review marketing materials and disclosures, including responses to requests for proposals, due diligence questionnaires, and investor communications.
Advise private equity and hedge fund clients on policies and procedures, and assist with implementation of new policies.
Develop educational and training materials and conduct employee training, including specialized training for use of AI tools.
