Julia Hanks advises private funds and investment advisers on a wide range of investment management issues, including fund structure and documentation, disclosure and advertising, vendor contracts, compliance policies and practices, and regulatory examinations. She also advises operating companies as they emerge from venture capital sponsorship to run their own operations and funding rounds.

Selected Professional Activities

Form hedge funds and special-purpose vehicles, including drafting of offering documents and negotiation of related agreements.
Review and update private fund offering materials.
Draft and review disclosures, including responses to requests for proposals, due diligence questionnaires, and investor communications.
Advise private equity and hedge fund clients on compliance policies and procedures.
Coordinate registration and licensing processes in non-U.S. jurisdictions in conjunction with local counsel.
Negotiate side letters and separately managed account agreements and advise clients on compliance with relevant terms.
Review and negotiate vendor agreements.
Prepare and lead internal training sessions.
Manage high-volume NDA review and compliance processes.
