Christine Chelf advises private funds and investment advisers on a wide range of investment management issues. Christine brings to GAP’s clients not only the perspectives of the outside law firm and the in-house private fund counsel, but also the practical industry knowledge of an experienced fund compliance consultant.

At GAP, Christine focuses on areas such as fund structure and documentation, portfolio management and trading practices, disclosure and advertising, vendor contracts, compliance policies and practices, and regulatory examinations.

Selected Professional Activities

Form hedge funds and special-purpose vehicles, including drafting of offering documents and negotiation of related agreements.
Review and update private fund offering materials.
Negotiate side letters and separately managed account agreements and advise clients on compliance with relevant terms.
Draft and review disclosures and marketing materials, including responses to requests for proposals, due diligence questionnaires, and investor communications.
Review and negotiate vendor agreements and confidentiality agreements.
Advise private fund clients on compliance policies and procedures.
Design, implement and conduct testing on compliance policies and procedures, including annual compliance reviews.
Lead general and targeted compliance training sessions.
Guide investment advisers during regulatory audits, including the preparation of responses to document request letters and deficiency letters.
Research and project management regarding compliance with existing, updated or new legal or regulatory requirements.
